These Terms of Service (“Terms”) govern your use of software products and services provided by Deft Strokes Development Co (“we,” “us,” or “our”) through our website at https://deftstrokesdev.com. By purchasing or using our products, you agree to these Terms.
Products and Services
We develop and sell software customizations for the Acumatica ERP platform. Our products are delivered as compiled software packages designed to extend or modify Acumatica functionality. Products are sold on a subscription basis and may include an upfront setup fee in addition to recurring subscription charges.
Purchases and Billing
All purchases are processed by Paddle.com Market Ltd (“Paddle”), who acts as our Merchant of Record. By completing a purchase, you also agree to Paddle’s Terms of Use and Buyer Terms. Paddle handles all payment processing, invoicing, and tax compliance on our behalf.
Pricing
Prices for our products are listed on our website or Paddle checkout page. We reserve the right to change pricing at any time. Price changes do not affect existing active subscriptions, which will continue at the rate in effect at the time of purchase until renewal or plan change.
Subscriptions
Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel your subscription at any time through the Paddle customer portal. Upon cancellation, your subscription remains active through the end of the current billing period.
Free Trial
We may offer a free trial period for certain products. During the trial, you may use the product at no charge to evaluate whether it meets your needs. At the end of the trial period, your subscription will begin and you will be charged unless you cancel before the trial expires.
Licensing
Each subscription grants you a license to use the purchased product on the Acumatica instance(s) associated with the Cloud Tenant ID registered to your account. This license is:
- Non-exclusive. We may license the same product to other customers.
- Non-transferable. You may not transfer, sublicense, or assign your license to another party without our written consent.
- Subscription-dependent. Your license is active only while your subscription is in good standing. If your subscription is cancelled or expires, your license will be deactivated.
You may not reverse-engineer, decompile, or disassemble our software products except to the extent expressly permitted by applicable law.
Access to Product Downloads
While your subscription is active, you have access to download supported versions of the product. If your subscription is cancelled or expires, your access to product downloads will be revoked.
We make reasonable efforts to maintain compatibility with current supported versions of Acumatica. We do not guarantee compatibility with all Acumatica versions or third-party customizations.
Intellectual Property
All software products, documentation, and related materials remain the intellectual property of Deft Strokes Development Co. Your subscription grants you a license to use the product; it does not transfer ownership of any intellectual property.
Limitation of Liability
To the maximum extent permitted by law, Deft Strokes Development Co shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our products, including but not limited to loss of data, loss of revenue, or business interruption.
Our total liability for any claim arising from or related to our products shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
Disclaimer of Warranties
Our products are provided “as is” and “as available.” We make no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that our products will be error-free, uninterrupted, or compatible with your specific Acumatica configuration.
Your Responsibilities
You are responsible for:
- Maintaining the security of your Acumatica environment
- Ensuring your Acumatica instance meets the system requirements for our products
- Maintaining backups of your data before installing or updating our products
- Using our products in compliance with your Acumatica license agreement
Termination
We reserve the right to suspend or terminate your license if you violate these Terms or engage in conduct that we reasonably believe is harmful to our business or other customers. In the event of termination for cause, no refund will be issued.
Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of our products after changes are posted constitutes acceptance of the revised Terms.
Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.
