Deft Strokes Development Co<\/strong> These Terms of Service (“Terms”) govern your use of software products and services provided by Deft Strokes Development Co (“we,” “us,” or “our”) through our website at https:\/\/deftstrokesdev.com<\/a>. By purchasing or using our products, you agree to these Terms.<\/p>\n\n We develop and sell software customizations for the Acumatica ERP platform. Our products are delivered as compiled software packages designed to extend or modify Acumatica functionality. Products are sold on a subscription basis and may include an upfront setup fee in addition to recurring subscription charges.<\/p>\n\n Purchases may be processed through a third-party payment provider, such as Paddle.com Market Ltd (“Paddle”), or invoiced directly by Deft Strokes Development Co at our discretion. The applicable payment method will be communicated at the time of purchase.<\/p>\n\n When purchases are processed through Paddle, Paddle acts as our Merchant of Record and handles payment processing, invoicing, and tax compliance on our behalf. By completing a purchase through Paddle, you also agree to Paddle’s Terms of Use<\/a> and Buyer Terms<\/a>.<\/p>\n\n When purchases are invoiced directly, payment is due upon receipt of the invoice unless otherwise agreed in writing. Invoices unpaid for more than thirty (30) days may result in suspension of the associated license. Deft Strokes Development Co is responsible for invoicing and applicable tax compliance for direct purchases.<\/p>\n\n Our products may be sold through authorized resellers. If you purchase a product through a reseller, the reseller’s pricing, payment terms, and included services may differ from those listed on our website. Your purchase agreement, invoicing, and payment obligations are between you and the reseller.<\/p>\n\n Technical support and product assistance for reseller purchases are provided by the reseller unless otherwise specified in your agreement with them. Deft Strokes Development Co is not responsible for support, refunds, or service commitments made by resellers beyond what is set forth in our agreement with them.<\/p>\n\n Regardless of the purchase channel, all licenses remain subject to the Licensing, Intellectual Property, and Limitation of Liability provisions of these Terms, and are governed by the End User License Agreement.<\/p>\n\n Prices for our products are listed on our website. We reserve the right to change pricing at any time. Existing active subscriptions may be subject to price adjustments of up to seven percent (7%) at renewal.<\/p>\n\n Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel your subscription at any time by contacting us or, if your purchase was processed through a third-party payment provider, through that provider’s customer portal. Upon cancellation, your subscription remains active through the end of the current billing period.<\/p>\n\n We may offer a free trial or evaluation period for certain products. During the trial, you may use the product at no charge to evaluate whether it meets your needs. At the end of the trial period, you may purchase a subscription or cease use of the product. Trial terms, including duration and conversion, will be communicated at the time the trial is offered.<\/p>\n\n Each subscription grants you a license to use the purchased product on the Acumatica instance(s) associated with the Cloud Tenant ID registered to your account. This license is:<\/p>\n\n You may not reverse-engineer, decompile, or disassemble our software products except to the extent expressly permitted by applicable law.<\/p>\n\n While your subscription is active, you have access to download supported versions of the product. If your subscription is cancelled or expires, your access to product downloads will be revoked.<\/p>\n\n We make reasonable efforts to maintain compatibility with current supported versions of Acumatica. We do not guarantee compatibility with all Acumatica versions or third-party customizations.<\/p>\n\n All software products, documentation, and related materials remain the intellectual property of Deft Strokes Development Co. Your subscription grants you a license to use the product; it does not transfer ownership of any intellectual property.<\/p>\n\n To the maximum extent permitted by law, Deft Strokes Development Co shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our products, including but not limited to loss of data, loss of revenue, or business interruption.<\/p>\n\n Our total liability for any claim arising from or related to our products shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.<\/p>\n\n Our products are provided “as is” and “as available.” We make no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.<\/p>\n\n We do not warrant that our products will be error-free, uninterrupted, or compatible with your specific Acumatica configuration.<\/p>\n\n You are responsible for:<\/p>\n\n We reserve the right to suspend or terminate your license if you violate these Terms or engage in conduct that we reasonably believe is harmful to our business or other customers. In the event of termination for cause, no refund will be issued.<\/p>\n\n We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of our products after changes are posted constitutes acceptance of the revised Terms.<\/p>\n\n These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.<\/p>\n\n
